These Terms & Conditions govern all trade accounts and orders placed with Wholesale Adaptogens, a trading name of [Company Legal Name], registered in England and Wales under company number [Company Number], with its registered office at [Registered Address] ("we", "us", "our").

By opening a trade account, placing an order, or otherwise engaging Wholesale Adaptogens for the supply of goods, you ("the Buyer") agree to be bound by these Terms. If you do not agree to these Terms, please do not place an order.

Wholesale Adaptogens supplies exclusively to businesses operating in a trade, manufacturing, formulation, or research capacity. We do not sell to individual consumers for personal use. By opening a trade account, you confirm that:

• You are purchasing in the course of a business, not as a consumer;
• You have the legal authority to enter into a binding agreement on behalf of that business; and
• The information provided when opening your account is accurate and current.

We reserve the right to request supporting documentation to verify trade status, and to decline or suspend any account at our discretion.

Products supplied by Wholesale Adaptogens are raw botanical and fungal extract ingredients, intended for further formulation, processing, or research use by the Buyer. Products are not supplied as finished consumer goods and are not intended for direct human or animal consumption in the form delivered.

It is the Buyer's sole responsibility to ensure that any finished product incorporating our ingredients complies with all applicable laws and regulations in the jurisdiction where that finished product is sold or distributed, including but not limited to labelling, novel food status, permitted health claims, and maximum permitted dose levels. Enquiries submitted through our website, WhatsApp, or email constitute a request for a quotation, not a binding order. A contract is formed only once we confirm acceptance of your order in writing, including confirmed pricing, quantity, and estimated dispatch date.

We reserve the right to decline any order at our discretion, including where minimum order quantities are not met, where product availability changes between quotation and confirmation, or where we are unable to verify trade account eligibility.

Pricing is tiered by order volume and quoted on request; see Wholesale & Trade Accounts for the current tier structure. Quoted prices are valid for the period stated in the quotation and are subject to change thereafter.

Payment terms are confirmed at the point of order. Unless otherwise agreed in writing, payment is due prior to dispatch. Goods remain the property of Wholesale Adaptogens until payment has been received in full.

All prices are exclusive of VAT and any applicable import duties, which are the Buyer's responsibility unless otherwise agreed.

Orders are typically dispatched within 48 hours of confirmed order and payment, shipped direct from the source facility. Delivery timeframes thereafter vary by destination and are estimates only, not guaranteed delivery dates.

Every batch we supply carries a batch-specific certificate of analysis (COA), confirming the tested specification for that batch. Product specifications published on our website (standardisation percentages, trade dose references, and similar) are typical ranges for the product line and may vary slightly batch to batch; the COA for your specific batch is the authoritative reference.

Due to the nature of bulk botanical and fungal extract ingredients, our returns policy is more limited than typical consumer retail terms. Full detail is set out in Shipping & Returns; that page takes precedence over any general assumption of a standard consumer returns right, which does not apply to trade purchases of this nature.

To the fullest extent permitted by law, our liability in connection with any order is limited to the value of that order. We do not accept liability for indirect or consequential loss, including loss of profit, business, or goodwill, arising from the Buyer's use of our products.

The Buyer is solely responsible for determining the suitability of any product for their intended formulation or application, for their own quality control and safety testing of finished products, and for compliance with all applicable regulatory requirements in their target market.

All content on this website, including text, graphics, logos, and product photography, is the property of Wholesale Adaptogens or its licensors and is protected by applicable intellectual property law. You may not reproduce, distribute, or otherwise use this content without our prior written consent, other than for your own internal reference in the course of trade with us.

We will not be liable for any delay or failure to perform our obligations resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, supply chain disruption, transport failures, labour disputes, or government action.

These Terms are governed by the laws of England and Wales. Any dispute arising from these Terms or your trade relationship with us will be subject to the exclusive jurisdiction of the courts of England and Wales.

We may update these Terms from time to time. The version in effect at the time an order is confirmed will apply to that order. We recommend reviewing this page periodically.
